TERMS AND CONDITIONS

For Mandate Buyer or Seller Representation Agreement with XB2BX LTD

Company: XB2BX LTD (hereinafter "XB2BX” or "Mandate”)
Company Registration Number: 15591974
Registered Office: 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ
Jurisdiction: United Kingdom

 

1. DEFINITIONS

1.1. "Mandate Buyer”: XB2BX LTD, acting on behalf of a Buyer, to source, negotiate, or procure goods or services.

1.2. "Mandate Seller”: XB2BX LTD, acting on behalf of a Seller, to promote, market, and sell goods or services.

1.3. "Principal”: The company or individual appointing XB2BX as its Mandate.

1.4. "Transaction”: Any commercial activity resulting from the introduction, negotiation, or representation conducted by XB2BX on behalf of the principal.

 

2. APPOINTMENT & SCOPE

2.1. The principal hereby appoints XB2BX LTD as an exclusive or non-exclusive Mandate Buyer or Mandate Seller for the products or services described in the annexe.

2.2. XB2BX shall have the authority to:

  • Identify and negotiate with third parties;
  • Facilitate or execute agreements under instruction;
  • Promote or represent the principal’s interests in designated markets;
  • Provide due diligence, sourcing, and/or compliance verification (if requested).

2.3. XB2BX shall not be held liable for the performance or quality of third parties unless otherwise contractually agreed.

 

3. TERM & TERMINATION

3.1. This Agreement shall remain in force for [12] months unless terminated by either party with 30 days' written notice.

3.2. Either party may terminate immediately in case of breach, insolvency, or illegal activity.

 

4. FEES & COMMISSION

4.1. XB2BX shall be entitled to a commission or fixed fee as per the terms set out in the annexed schedule.

4.2. Commission is due on:

  • Successful closing of any transaction introduced or facilitated by XB2BX;
  • Signed agreement or invoice issuance;
  • Receipt of payment from the counterparty.

4.3. All commissions are exclusive of VAT and payable within 7 days of the invoice.

 

5. CONFIDENTIALITY

5.1. Both parties agree to treat all business, financial, and technical information as confidential.

5.2. This obligation shall remain valid for 3 years after the end of this Agreement.

 

6. NON-CIRCUMVENTION

6.1. The principal agrees not to bypass, contact, or deal directly with any third party introduced by XB2BX without prior written consent.

6.2. Any circumvention shall result in XB2BX being entitled to full commission as if XB2BX had executed the transaction.

 

7. REPRESENTATIONS & WARRANTIES

7.1. The principal warrants that it has the legal capacity to enter into this agreement and to carry out any resulting transactions.

7.2. XB2BX does not guarantee the outcome of any transaction, nor does it provide financial or legal advice unless explicitly agreed in writing.

 

8. LIMITATION OF LIABILITY

8.1. XB2BX’s total liability shall be limited to the amount of commission or fees received for the relevant transaction.

8.2. XB2BX shall not be liable for any indirect or consequential damages, loss of profit, or delays caused by third parties.

 

9. GOVERNING LAW & DISPUTES

9.1. This Agreement shall be governed by and construed under the laws of England and Wales.

9.2. Any dispute shall first be settled by amicable negotiation. If unresolved, the dispute shall be referred to arbitration in London under the LCIA Rules.

 

10. GENERAL

10.1. Entire Agreement: This document constitutes the entire understanding between the parties.

10.2. Amendments: Must be in writing and signed by both parties.

10.3. Assignment: Neither party may assign its rights without prior written consent.
